  • Discussion on transaction structure and corporate model.
  • Detailed analysis (DEEP DIVE) of competitive differences, value levers and strategic positioning that make our clients special assets.
  • Preparation of the Business Plan with all avenues of growth to subsidize Valuation.
  • Refinement of the Valuation model, discussion and alignment of expectations.
  • Preparation of One Page Teaser & Info Memo.
  • Mapping potential risks for our clients, as well as proposing corporate and tax structures that mitigate these risks.
  • Preparation, discussion and refinement of the Buyers-list (list of Buyers and/or Investors).
  • Competitive process with potential Buyers and/or Investors (Road Show).
  • Negotiation with potential interested parties.
  • Signing a non-binding proposal (“LOI or MOU”).
  • Complete support in due diligence and definitive contracts.

Schedule estimate

Our base schedule is development for 12 months and we work with a target of 9 months.

But, depending on the needs of each client, we have already carried out fast-track projects in up to 4 months and projects in 7 months are possible.

The M&A process depends on the speed of both the buyer and seller, in addition to the complexity of the business in question. At 3Capital, we work in the interest of maximizing business value and recognize that time is a crucial variable in any negotiation process. Therefore, regardless of the length of the timeline, we remain committed to the success of the transaction.
